Introduction and Acceptance of Terms
Welcome to Bluepath Journeys ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of all services, products, platforms, tools, and resources provided by Bluepath Journeys, including but not limited to our corporate travel management services, online trip planning platform, booking coordination, team building and event management, expense reporting, and any related services offered through our website, mobile applications, and third-party integrations (collectively, the "Services").
By accessing, using, purchasing, or engaging any of our Services, whether through our website, via email communication, telephone, or through any authorized representative or partner, you ("Client," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you are entering into these Terms on behalf of a business, corporation, partnership, limited liability company, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and in such case "you" and "your" will refer to that entity.
If you do not agree to all of these Terms, you must immediately discontinue use of our Services and notify us in writing of your decision. Continued use of any part of our Services following any modification to these Terms constitutes your acceptance of the modified Terms. We reserve the right to modify, update, or revise these Terms at any time without prior individual notice, although we will make reasonable efforts to inform existing clients of material changes via email or through our platform.
Description of Services
Bluepath Journeys provides comprehensive corporate travel management solutions designed to streamline business travel operations for organizations of all sizes. Our Services encompass the full lifecycle of corporate travel management and include, without limitation, the following:
2.1 Corporate Trip Management
We coordinate end-to-end business travel for your organization, including initial consultation and briefing, itinerary development, logistics coordination, on-trip support, and post-trip reporting. This service functions as a single point of contact for all travel-related needs, reducing the administrative burden on your HR, operations, and finance departments.
2.2 Online Trip Planning and Approval Platform
Our cloud-based platform provides tools for itinerary building, multi-level approval workflows, real-time trip status tracking, and a shared calendar system accessible to HR personnel, office managers, department heads, and executive leadership. The platform integrates with common enterprise systems and provides configurable notification and alert capabilities.
2.3 Booking and Reservation Services
We facilitate the booking of airline tickets (domestic and international), hotel accommodations, ground transportation and transfers, car rentals, and venue reservations on behalf of your organization. We negotiate corporate rates with travel suppliers and pass through those rates without markup. We handle reservation changes, cancellations, rebookings, and provide 24/7 emergency booking support.
2.4 Team Building and Event Programs
We design, plan, and execute corporate events, team-building programs, off-site retreats, and company gatherings. This includes concept development aligned with your organizational objectives, venue sourcing and vendor coordination, activity programming, scheduling, catering arrangements, and on-site facilitation and management.
2.5 Expense Reporting and Analytics
We provide structured post-trip expense reporting, real-time budget dashboards, spend variance tracking and alerts, and comprehensive travel analytics. Reports can be exported in CSV and PDF formats and integrated with your existing financial systems.
Client Obligations and Responsibilities
As a client of Bluepath Journeys, you agree to the following obligations and responsibilities, which are essential to our ability to deliver Services effectively and in a timely manner:
You shall provide accurate, complete, and timely information necessary for us to perform our Services, including but not limited to traveler identification details, passport information, travel preferences, dietary requirements, medical conditions relevant to travel, budget parameters, organizational policies, and any other information we reasonably request. You acknowledge that inaccurate or incomplete information may result in booking errors, additional costs, travel disruptions, or other negative consequences for which Bluepath Journeys shall not be liable.
You are responsible for ensuring that all travelers covered under your account comply with applicable travel requirements, including but not limited to valid passports, visas, immunization records, COVID-19 or other health-related travel protocols, and any entry or exit requirements imposed by destination countries, transit countries, or transportation carriers. Bluepath Journeys may provide guidance on travel requirements as a courtesy, but the ultimate responsibility for compliance rests solely with you and your travelers.
You shall designate authorized representatives who are empowered to make decisions on behalf of your organization regarding travel bookings, changes, cancellations, budget approvals, and service selections. You agree that any instructions received from your designated authorized representatives shall be binding upon your organization.
You shall respond to our requests for approval, confirmation, or additional information within reasonable timeframes as communicated by our team. Delays in your response may result in loss of availability, price increases, or inability to deliver Services as planned. You acknowledge that the travel industry operates with time-sensitive inventory and pricing, and that delayed decision-making may have material financial consequences.
Pricing, Payment, and Billing
All prices for our Services are quoted in United States Dollars (USD) unless otherwise specified in writing. Pricing is subject to change based on market conditions, supplier rate changes, currency fluctuations, and other factors beyond our reasonable control. We will provide you with a detailed proposal or quote before commencing work on any new engagement, and we will seek your written approval before proceeding with any costs that exceed the agreed-upon budget by more than ten percent (10%).
Our service fees are structured according to the specific Services engaged and may include per-trip management fees, per-transaction booking fees, per-user platform access fees, per-attendee event planning fees, or custom fee arrangements as negotiated and documented in your service agreement. All service fees are in addition to the actual costs of travel, accommodation, transportation, venues, catering, and other third-party services booked on your behalf.
Payment terms are net thirty (30) days from the date of invoice unless otherwise agreed in writing. Late payments may be subject to a late payment fee of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, whichever is less. Clients with past-due balances may have their Services suspended or terminated at our discretion until all outstanding amounts are resolved. We accept payment by wire transfer, ACH, corporate check, and major credit cards. A convenience fee of three percent (3%) may apply to credit card payments.
In the event of a dispute regarding any invoice or charge, you must notify us in writing within fifteen (15) days of the invoice date, providing specific details of the disputed amount and the basis for your dispute. Undisputed portions of any invoice remain due and payable in accordance with the standard payment terms. We will work with you in good faith to resolve any billing disputes promptly.
Cancellations, Changes, and Refunds
The cancellation and modification policies for travel bookings made through Bluepath Journeys are subject to the terms and conditions of the underlying travel suppliers (airlines, hotels, ground transport providers, venues, and other third-party service providers). We will make reasonable efforts to inform you of applicable cancellation policies at the time of booking, but it is your responsibility to review and understand these policies before confirming any reservation.
Cancellations or changes to confirmed bookings may incur fees imposed by the travel supplier, and these fees will be passed through to you. In addition, our service fees for the work already performed in researching, planning, and executing the original booking are non-refundable unless otherwise specified in your service agreement. For event planning services, cancellation fees are determined based on the stage of planning, vendor commitments made, and non-recoverable costs incurred on your behalf.
Where travel suppliers offer credits, vouchers, or future travel certificates in lieu of refunds, we will facilitate the application of those credits to future bookings on your behalf. We will track and manage any such credits and notify you before they expire.

Limitation of Liability
Bluepath Journeys acts as an intermediary and coordinator between you and third-party travel service providers. While we exercise reasonable care and professional diligence in selecting and coordinating with travel suppliers, we do not own, operate, or control the airlines, hotels, ground transportation companies, event venues, catering services, or other third-party providers used in the delivery of our Services. Accordingly, we shall not be liable for any acts, omissions, errors, negligence, defaults, breaches, personal injury, property damage, delays, cancellations, overbookings, strikes, mechanical failures, or any other issues arising from the services or products provided by third-party travel suppliers.
To the maximum extent permitted by applicable law, in no event shall Bluepath Journeys, its officers, directors, employees, agents, partners, or affiliates be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, business opportunities, or other intangible losses, arising out of or in connection with your use of our Services, regardless of whether such damages are based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, and regardless of whether we have been advised of the possibility of such damages.
Our total aggregate liability to you for all claims arising out of or relating to these Terms or our Services shall not exceed the total amount of service fees paid by you to Bluepath Journeys during the twelve (12) month period immediately preceding the event giving rise to the claim. This limitation of liability is a fundamental element of the basis of the bargain between you and Bluepath Journeys, and shall apply even if any limited remedy provided herein fails of its essential purpose.
Intellectual Property
All content, materials, software, designs, graphics, text, images, logos, trademarks, trade names, service marks, and any other intellectual property associated with Bluepath Journeys and our Services are owned by or licensed to Bluepath Journeys and are protected by United States and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use our platform and materials solely for the purpose of utilizing our Services in accordance with these Terms.
You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of our intellectual property without our prior written consent. Any unauthorized use of our intellectual property may violate copyright, trademark, privacy, publicity, and other applicable laws and may result in civil or criminal penalties.
Confidentiality and Data Protection
Both parties acknowledge that in the course of the business relationship, each party may disclose or provide access to confidential and proprietary information, including but not limited to business plans, financial information, pricing structures, client lists, employee personal data, travel itineraries, and technical information ("Confidential Information"). Each party agrees to hold all Confidential Information in strict confidence, to use such information only for the purposes of fulfilling obligations under these Terms, and to protect such information using at least the same degree of care used to protect its own confidential information, but in no event less than reasonable care.
Our collection, use, storage, and processing of personal data is governed by our separate Privacy Policy, which is incorporated into these Terms by reference. We comply with all applicable data protection laws and regulations, including but not limited to the California Consumer Privacy Act (CCPA), the General Data Protection Regulation (GDPR) where applicable, and other relevant privacy and data protection frameworks.
Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from causes beyond the reasonable control of that party, including but not limited to natural disasters, earthquakes, hurricanes, floods, epidemics, pandemics, acts of God, war, terrorism, civil unrest, government actions or regulations, sanctions, embargoes, strikes, labor disputes, transportation disruptions, airline cancellations, airport closures, power outages, internet service interruptions, cyberattacks, or any other events that are unforeseeable or, if foreseeable, unavoidable ("Force Majeure Events").
In the event of a Force Majeure Event, the affected party shall notify the other party as soon as reasonably practicable and shall use commercially reasonable efforts to mitigate the effects of the Force Majeure Event and resume performance of its obligations as soon as possible. If a Force Majeure Event continues for more than sixty (60) consecutive days, either party may terminate the affected engagement by written notice to the other party without liability for such termination.
Indemnification
You agree to indemnify, defend, and hold harmless Bluepath Journeys, its officers, directors, employees, agents, partners, contractors, licensors, and affiliates from and against any and all claims, demands, suits, actions, damages, losses, costs, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of our Services; (b) your breach of these Terms; (c) your violation of any applicable law, regulation, or third-party right; (d) any information or content provided by you or your authorized representatives; (e) the acts or omissions of your employees, agents, or travelers; or (f) any dispute between you and a third-party travel supplier.
Governing Law and Dispute Resolution
These Terms shall be governed by, construed, and enforced in accordance with the laws of the State of Missouri, United States of America, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be submitted to good faith negotiation between the parties for a period of thirty (30) days. If the dispute cannot be resolved through negotiation, the parties agree to submit the dispute to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with the arbitration to be held in Springfield, Missouri.
Each party shall bear its own costs and expenses in connection with any dispute resolution proceedings. The arbitrator's decision shall be final and binding on both parties and may be entered as a judgment in any court of competent jurisdiction. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the breach or threatened breach of any confidentiality or intellectual property obligations under these Terms.
Term and Termination
These Terms are effective as of the date you first access or use our Services and will remain in effect until terminated by either party. Either party may terminate the business relationship by providing thirty (30) days' written notice to the other party. Upon termination, all outstanding invoices become immediately due and payable. Obligations related to confidentiality, intellectual property, limitation of liability, indemnification, and dispute resolution shall survive termination of these Terms.
We reserve the right to immediately suspend or terminate your access to our Services if we reasonably believe that you have materially breached these Terms, engaged in fraudulent or illegal activity, failed to pay outstanding invoices beyond the applicable cure period, or posed a risk to the security or integrity of our platform or operations.
Miscellaneous Provisions
Entire Agreement. These Terms, together with any service agreements, proposals, or other documents expressly incorporated by reference, constitute the entire agreement between you and Bluepath Journeys with respect to the subject matter hereof and supersede all prior and contemporaneous agreements, proposals, representations, and understandings, whether written or oral.
Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.
Waiver. No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
Assignment. You may not assign or transfer these Terms or any of your rights or obligations hereunder without our prior written consent. We may assign these Terms freely in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets.
Notices. All notices required or permitted under these Terms shall be in writing and shall be deemed delivered when sent via email to the addresses designated by each party, or when delivered by certified mail, return receipt requested, to the physical addresses on file.
